Terms of Service
Effective date: July 2026. Please read these terms carefully before using our Services.
Who this applies to
These Terms govern access to and use of the products and services provided by Imhotep Systems ("Imhotep," "we," "us," or "our"), including our data and AI infrastructure platform, workflow applications, business operations tooling, and any associated edge devices or hardware integrations (collectively, the "Services"). By accessing or using the Services, you agree to these Terms on behalf of yourself or the organization you represent ("you" or "Customer").
Accounts and eligibility
You must provide accurate information when creating an account and keep it current. You're responsible for activity under your account and for maintaining the security of your credentials. If you're using the Services on behalf of a company or government entity, you represent that you have authority to bind that entity to these Terms.
Description of Services
Imhotep provides infrastructure and applications that may include, depending on your plan or contract: AI-driven workflow automation, business operations tooling, enterprise intelligence and reasoning systems, and edge computing devices designed for on-premises or low-connectivity environments. Specific features, service levels, and deployment models (cloud, on-premises, hybrid, or edge) will be defined in an applicable order form, statement of work, or enterprise agreement.
Customer data and content
You retain ownership of any data, content, and materials you submit to or process through the Services ("Customer Data"). You grant Imhotep a limited license to host, process, and use Customer Data solely to provide, maintain, secure, and improve the Services, and as otherwise described in our Privacy Policy and any applicable Data Processing Agreement. You're responsible for ensuring you have the right to submit Customer Data to us, including any necessary consents or legal basis where personal data is involved.
Acceptable use
You agree not to use the Services to violate any law, infringe on intellectual property or privacy rights, reverse engineer or attempt to extract underlying models or source code except as permitted by law, interfere with the security or integrity of the Services, or use the Services to build a directly competing product. For government or critical-infrastructure deployments, additional acceptable use terms may apply and will be set out in a separate agreement.
AI-generated output
Where the Services generate outputs, recommendations, or automated decisions, you acknowledge that AI systems can produce inaccurate, incomplete, or unexpected results. You're responsible for reviewing and validating outputs before relying on them for business-critical, safety-critical, or regulatory decisions. Imhotep does not guarantee that outputs will be error-free or fit for a particular purpose unless explicitly warranted in a signed agreement.
Edge devices and hardware
Where the Services include physical edge devices, additional terms covering shipping, title, risk of loss, warranty, and end-of-life handling will be provided at time of purchase or in a hardware addendum. Software running on edge devices remains licensed, not sold, unless otherwise stated.
Fees and payment
Fees, billing cycles, and payment terms will be set out in your order form or enterprise agreement. Unless stated otherwise, fees are non-refundable, and late payments may result in suspension of Services after notice.
Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not less than reasonable care, and to use it only for purposes of the relationship between the parties.
Intellectual property
Imhotep retains all rights, title, and interest in the Services, including underlying software, models, and infrastructure, excluding Customer Data. Feedback you provide may be used by Imhotep to improve the Services without obligation to you, unless otherwise agreed in writing.
Service levels and support
Applicable service levels, uptime commitments, and support terms will be specified in an enterprise agreement or service level addendum where relevant.
Term, suspension, and termination
These Terms remain in effect while you use the Services. We may suspend or terminate access for material breach, non-payment, legal or security risk, or as otherwise permitted in your agreement, generally with notice except where immediate action is required to protect the Services or other users.
Warranties and disclaimers
Except as expressly stated in a signed agreement, the Services are provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Imhotep will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from use of the Services. Aggregate liability will be capped as specified in your applicable agreement.
Governing law and disputes
These Terms are governed by the laws of the Republic of Rwanda, without regard to conflict of law principles, unless a separate signed agreement specifies otherwise for a particular customer or jurisdiction.
Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated with reasonable advance notice. Continued use of the Services after changes take effect constitutes acceptance.
